Terms of Use

1. Acceptance of these Terms

By creating an account, accessing the Platform, or making a commitment, you ("Investor", "you", or "your") agree to these Terms, our Privacy Policy, and the Disclosures & Risk page. If you do not agree, do not use the Platform.

Where you commit to a deal, you will additionally enter into a binding Contribution Agreement and Scheme Appendix with the Fund — those documents prevail over these Terms in case of conflict, with respect to the specific commitment.

2. Eligibility & KYC

• You must be 18 years or older and legally able to contract under Indian law.
• You must qualify as an "Angel Investor" under the SEBI (Alternative Investment Funds) Regulations, 2012, including the relevant net-worth and disclosure requirements.
• You must complete CKYC verification on the Platform before placing any commitment.
• The minimum commitment size for any deal on the Fund is ₹25,00,000 (Rupees Twenty-Five Lakh), as required for SEBI Angel Funds.

3. Confidentiality & non-disclosure

All information shared on the Platform — including pitch decks, deal memos, financial data, business plans, and founder interactions — is strictly confidential.

• You agree not to share, distribute, copy, or disclose any such information to third parties without prior written consent from Soonicorn Ventures or the respective startup.
• This obligation survives the termination of your account or your participation with the Platform.

4. Non-solicitation of founders

• You shall not contact, solicit, or engage any founder listed on the Platform for investment, advisory, or commercial activity outside the Platform without prior written approval.
• Deal flow shared through Soonicorn Ventures is intended for Platform-based syndication only.

5. Accuracy of information

You agree to provide accurate, complete, and up-to-date information regarding your identity, investment experience, financial status, and other disclosures required by the Platform or applicable law. We may verify this information through internal or third-party channels. Misrepresentation may result in termination of access or reporting to the appropriate regulatory authorities.

6. Independent investment decisions

• All investment decisions made through the Platform are made at your sole discretion and responsibility.
• Soonicorn Ventures does not offer financial, tax, legal, or investment advice.
• While we may provide access to diligence reports or deal insights, these are for informational purposes only. You are strongly encouraged to perform your own due diligence or consult an independent adviser.

7. Platform access & approval

• Your registration does not guarantee access to deals or pitch calls. Access is subject to internal verification and approval.
• We reserve the right to deny, limit, or revoke access at any time without prior notice in case of a policy breach or compliance concern.

8. Permitted usage

You agree:

• Not to use the Platform to market or sell services to other investors or startups.
• Not to misuse the Platform or attempt unauthorised access to restricted areas.
• Not to post or share any content that is unlawful, defamatory, or in violation of applicable laws.
• Not to scrape, copy, or reverse-engineer the Platform.

9. Intellectual property

All content on the Platform — including logos, deal templates, investment tools, workflows, and materials — is proprietary to Soonicorn Ventures and protected under applicable IP laws. You may not reproduce, modify, or commercially exploit any such content without written consent.

10. No guarantee of returns

Investments in startups and unlisted securities are inherently risky. Soonicorn Ventures and the Fund do not guarantee any return on investment, nor the success or performance of any portfolio company or deal presented. You understand and accept the risk of partial or total loss of capital. Past performance does not guarantee future returns.

11. Data use & communication

• You consent to the use of your personal and professional data for internal analytics, deal matching, and platform improvement, in accordance with our Privacy Policy.
• You agree to receive transactional, regulatory, or event-related communications from Soonicorn Ventures, which you may opt out of where legally permitted.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to you by email or in-platform notice at least 14 days before they take effect, except where a shorter notice period is required by law. Continued use of the Platform after the effective date of an update constitutes acceptance of the revised Terms.

13. Jurisdiction & dispute resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at New Delhi, India. Investors will additionally have access to the SEBI investor grievance mechanism — see Grievance redressal.
